I saw an article about that on Slate. They've actually written a couple pieces on it. Warner's copyright claim is pretty specious, but no one has taken them to court to prove it before, since the court costs would be prohibitive. It looks like she is suing to have all previous payments overturned.
They had another article, about why the song works: it's all simple intervals that are easy for non-musical types to sing relatively in key.
